The Supreme Court of British Columbia has granted the final order required for the arrangement, following shareholder approvals by both companies on August 14.

According to the companies, the transaction will create Real REMAX Group Inc., bringing together Real’s more than 36,000 agents with RE/MAX’s network of more than 145,000 agents operating across more than 120 countries and territories. The proposed combination therefore represents a substantial consolidation of talent, technology, brokerage infrastructure and international reach within the residential real estate sector.

The Real RE/MAX merger follows months of regulatory, shareholder and transaction-related steps. Both companies received approval from their respective securityholders at special meetings held August 14. The latest court order from British Columbia represents the final judicial approval required for the arrangement component of the transaction.

The deal is structured to give RE/MAX Holdings shareholders the option of receiving shares in the new company or cash, subject to the transaction’s allocation and proration provisions. Preliminary results released by the companies indicated that cash elections exceeded the maximum aggregate cash consideration available under the merger agreement, meaning proration provisions will apply.

As part of the transaction, Real has also planned a 10-for-1 share consolidation. Subject to the closing conditions, the consolidation is expected to become effective at 4:01 p.m. New York City time on August 24. Following completion, Real REMAX Group shares are expected to begin trading on Nasdaq under the REAX symbol when markets open August 25.
